License Terms & Lease Agreement

One of the most common questions we receive from artists that are new to the beat leasing business is "What's is the difference between purchasing a "lease" and purchasing an "exclusive"  license to a beat?"

When an artist "leases" a beat they are granted access and limited rights to a producer's instrumental for a lower rate, for a limited time period, and or a limited amount of sales. An artist can extend the life of their lease as well as upgrade to more premium licensing options until the beat is sold exclusively. Multiple artists are also allowed to also lease and sell the same instrumental for a given time period and or until that instrumental is sold exclusively.

An exclusive license grants an artist sole ownership of the instrumental with unlimited sales. Exclusive rights guarantees  that the artist will be the last individual able to purchase and sell the beat. Every exclusive purchase is bounded by a contract. More expensive but a must have to create original content.

• Non-Exclusive License (Standard, Premium, Extended & Unlimited Lease) - The track is leased to the client under strict conditions. These conditions will include duration of time, max sales profit to be made, number of performances, among other things. This type of license/lease does not transfer ownership of the beat.
• Exclusive License - The track is sold to the client. Once ownership has been transferred they are to do whatever they please.

All files will be delivered instantly. You will receive either tagged or untagged MP3 and/or WAV files of the song. Trackouts are included with all licenses except standard. Leasing rights allow you to use the beat for one non-profit promotional use or demos. You have full rights to record, alter, mix the beat/song in any shape, way, or form (except reselling the beat). You must however give full credit to the producer and/or Dreams Collective on all recordings.

Upon purchasing leasing rights, the seller still owns the beat(s), including all copyrights belonging to the original copyright holder, as well as any modifications or improvements made to the licensed property. The seller is able to resell the beat(s) to any other party until exclusive rights have been purchased. In the event that someone buys exclusive rights to the beat you have leased; your rights shall stand and the beat is still yours to use.

This license expressly forbid resale or other distribution of Dreams Collective productions & compositions, either as they exist or any modification thereof. You cannot sell, loan, rent, lease, assign, or transfer all or any of the products sold under Dreams Collective to another user, or for use in any competitive product. Unauthorized use or duplication is a violation of this agreement and of applicable laws of the United States and other countries. Any infringement of copyright will be pursued to the fullest extent of the law.

The buyer agrees to indemnify, defend, and hold the seller (Dreams Collective & the producer) harmless from any and all actions, causes of action, claims, demands, costs, liabilities, expenses and damages (including attorneys’ fees) arising out of or in connection with any claim that the Tracks furnished by under this License constitutes an infringement of any confidential information, trade secret, patent, copyright, trademark, trade name, or other legal right of any third party. This document & page serves as the standing agreement between the producer, Dreams Collective, and you (the buyer).

A contract will be drafted and sent to buyer with an invoice. The contract must be signed and sent back with the payment. Than all files will be delivered instantly. You will receive tagged & untagged MP3, WAV, and trackout files of the song. Exclusive rights grant you unlimited commercial recordings and broadcasts. You have full rights to record, alter, mix the beat/song in any shape, way, or form (except reselling the beat). You own the recording as a "work made for hire". The original seller may no longer lease or sell the beat/song, except for prior leasing rights holders and his/her own promotional page. You must however give full credit to the seller (Dreams Collective & artist and/or producer name) on all commercial recordings. For both leasing and exclusive rights, the buyer is responsible for clearing any samples that may be used.

Exclusive rights can only be sold to one person. If one of the beats (either the Instrumental or the one with Hook) is sold, the other version will no longer be available for exclusive purchase. If a beat was leased before the contract arrives, everything applies as normal including ability for radio play. Once the beat is bought exclusively AND the buyer has complied with contract requirements, it will be then marked as “SOLD”. It’ll no longer be for sale without the permission of the buyer, Dreams Collective and/or the producer.

• Charity organizations: can use song for free, but must give full credit to artist/producer
• Student projects for school/college: can use song for free, but must give full credit to artist/producer
• Commercials, In-house, company publications: for publications with less than 50,000 viewers exclusive rights suffice. Terms are to be discussed for larger publications.
• Websites (less than 100,000 monthly hits): leasing rights suffice
• Websites (other): must acquire exclusive rights
• TV/Movie: terms are to be discussed

You may not use the free beats for any public performances.
An unlimited number of non-profitable performances are allowed with the purchase of any license type.
Each type of non-exclusive lease allows live paid performances up to a certain dollar amount & value.

A standard lease allows you to make up to a $1,000 for live performances. The premium lease extends the limit up to $2,500. The extended lease further extends that limit to $5,000. An unlimited lease and/or an exclusive license grants infinite paid performance.

A standard lease grants synchronization rights for one video only. The premium lease grants synchronization rights up to three videos. An extended lease grants up to five videos. Both unlimited leases and/or exclusive licenses grant synchronization rights for as many videos as you want.

All licenses include unlimited streaming. However, non-exclusive leases to have term limits such as time, units olds, and max sale profits. The standard lease must also feature the producer name or 'Dreams Collective' in the title of the song track.

Free downloads does not mean free beats. You may only use the free downloads for non-commercial / non-profitable use. Use on albums, mixtapes, tv-, and radio-airplay, live performances or any other public use is strictly prohibited! The purpose of free downloads is to offer the possibility to record/write a song to them and have a test-drive to see if the final results are worth it investing in a license. The free downloads contain tags and these tags may not be removed under no circumstances. If you want to get the high-quality version without tags, you need to purchase at least a lease. Anyone found to be abusing these privileges and the additional terms listed in ‘Terms & Conditions’ will most likely face a law suit for copyright infringement. Credit must always be given to either ‘Dreams Collective' and/or the producer of the beat. By making a purchase of any kind, the customer declares that they will give credit to the producer where possible in a written form (cd cover/booklet, youtube videos, social network pages such as myspace or facebook, etc.). Any displayed or downloadable digital files must include ‘produced by Dreams Collective’ within the file name. The correct format to use wherever credit is due is the following:

“Name of your track which uses our instrumental” -Your Artist Name –  Produced By: {Name of producer(s)} or Dreams Collective {featuring: (Any Other Artist)}.

e.g.  “Song Title” - Your Artist Name - Produced By: Producer ID or Dreams Collective (and any other featuring artist).

Music used for demos or albums without giving credits is NOT permitted under this license. For multimedia use, contact us for media terms.

All our tracks are globally copyrighted protected by ASCAP. Failure to give credit will result in us being unable to clear the copyright for you and will lead to serious legal action.

By making a payment the customer declares that they are fully aware of the terms & conditions & accepts & agrees to them. All terms & conditions are listed on the webpage DreamsCollective.com. In case of a change in any of the listed points or should one point become invalid, all other points stay unaffected & are still valid. For this written agreement & the general legal relationship, Law is applicable. If a beat contains sampled material, the sample-clearing of itself needs to be done by the customer(s), not by Dreams Collective. The licensee understands that they are responsible for clearing all samples that they choose to use & that the licensor cannot & will not be held liable for the misuse of any sampled material that the licensee uses in conjunction with the original instrumental composition that is being licensed in this agreement. The licensee understands & accepts that he only paid for the production work of the producer. The licensor does not claim to have any rights on any sampled material. Under no circumstances is a customer allowed to re-sell the beat in any form. Rights that are given to a customer are not transferable. No matter if exclusive rights are sold to a beat, Dreams Collective will always be allowed to use that beat for own promotional uses. Therefore, all beats sold exclusively stay on the webpage. Download & license options to that beat will be removed & the beat will be marked as ‘sold’. Customers may edit/alter the length of a beat as they see fit, as long as they own a license to the beat & do not change the sound-structure of the beat itself. No changes to a beat are allowed, except of length changes. Therefore, it is also not allowed to use any parts, melodies, instruments, sounds, drum arrangements, etc. of the original instrumental composition for other compositions. After the delivery of the beat, Dreams Collective will be unbound of any further responsibilities to the customer & legally freed of any further duties. Any beat by Dreams Collective may not be uploaded on any website without our permission. Dreams Collective is not responsible for other sites claiming to sell our beats. Anybody abusing or disrespecting the listed terms & conditions will likely face a law suit.
